1. Introduction and Acceptance of Terms

Welcome to Local Link GH ("Platform," "Website," "we," "us," or "our"), an online marketplace connecting local businesses ("Vendors," "Sellers") with customers ("Buyers," "you," or "your") in Ghana, primarily within Takoradi and the Western Region.

By accessing, Browse, or using the Local Link GH website, registering an account, or making a purchase, you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any other policies or guidelines posted on our Platform. If you do not agree to these Terms, please do not use our Platform.

We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our Website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Website following the posting of any changes constitutes acceptance of those changes.

2. Definitions

• Platform / Website: Refers to the Local Link GH website (locallink.shop), including all its subdomains, pages, and related services.

• User / You: Refers to any individual or entity accessing or using the Platform, including Buyers and Vendors.

• Buyer / Customer: An individual or entity who browses or purchases products/services listed on the Platform.

• Vendor / Seller / Merchant: A local business or individual legally registered and approved by Local Link GH to list and sell products/services on the Platform.

• Product(s) / Item(s): Goods or services listed for sale by Vendors on the Platform.

• Content: Any text, graphics, images, audio, video, information, data, or other material uploaded, posted, or displayed on the Platform.

• Transaction: A purchase of Product(s) made by a Buyer from a Vendor via the Platform.

3. Account Registration and Security

3.1. Eligibility: To use certain features of the Platform, you must be at least [Specify Age, e.g., 18] years old and have the legal capacity to enter into binding contracts.

3.2. Account Creation: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account login credentials (email and password) and for all activities that occur under your account. You agree to notify Local Link GH immediately of any unauthorized use of your account

3.4. Prohibited Actions: You must not use another user's account without permission, create multiple accounts for abusive purposes, or engage in any activity that compromises the security of the Platform.

3.5. Account Termination: We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Platform if you provide any information that is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, or if you violate any of these Terms.

4. For Buyers (Customers)

4.1. Product Listings: You acknowledge that Local Link GH is a marketplace and that products listed on the Platform are offered for sale by independent Vendors, not by Local Link GH directly. Local Link GH does not manufacture, store, or ship the products, nor does it guarantee the accuracy of product listings or the quality of products.

4.2. Pricing and Payments: * Prices for Products are set by Vendors and are listed in Ghanaian Cedis (GHS). Prices may include applicable taxes and exclude shipping costs, unless otherwise stated. * All payments for Transactions are processed securely through third-party payment gateways (e.g., Paystack). You agree to provide accurate payment information. * Local Link GH is not responsible for any issues or disputes arising from the services of third-party payment gateways.

4.3. Ordering Process: By placing an order, you agree to purchase the selected Products from the respective Vendor(s) at the listed price, subject to these Terms.

4.4. Cancellations by Buyer: Order cancellation policies are at the discretion of the individual Vendor. Please review the Vendor's specific cancellation policy before placing an order.

4.5. Returns and Refunds: * Returns and refunds for Products are handled directly by the individual Vendor from whom you purchased the Product, in accordance with their specific return and refund policy displayed on their storefront. * You are encouraged to review a Vendor's return policy before making a purchase. * Local Link GH's role in returns and refunds is limited to facilitating communication between Buyer and Vendor and, in some cases, mediating disputes where direct resolution fails. We are not directly responsible for issuing refunds or accepting returns. * Your statutory rights under Ghanaian consumer protection laws remain unaffected.

4.6. Reviews and Ratings: You may submit reviews and ratings for Products and Vendors. You agree that all reviews must be truthful, fair, and not contain any unlawful, obscene, defamatory, or otherwise objectionable content. Local Link GH reserves the right to remove reviews that violate these guidelines.

5. For Vendors (Sellers)

5.1. Eligibility: To become a Vendor, you must be a legally registered business in Ghana or operate lawfully within Ghanaian regulations. You agree to provide all necessary business registration documents and other information as requested by Local Link GH for verification purposes.

5.2. Product Listings: * You are solely responsible for the accuracy, completeness, and legality of all Product listings you upload, including descriptions, prices, images, and inventory levels. * You warrant that you have all necessary rights to sell the Products you list and that your Products do not infringe upon any third-party intellectual property rights. * Prohibited Items: You agree not to list or sell any Products that are illegal, dangerous, counterfeit, stolen, violate intellectual property rights, or fall into any category prohibited by Local Link GH's policies (e.g., certain firearms, illegal drugs, live animals without permits, adult content).

5.3. Pricing and Payouts: * You set the prices for your Products in Ghanaian Cedis (GHS). * Local Link GH charges a 1% commission on each successful Transaction processed through the Platform. This commission is deducted directly from the Buyer's payment before payout to the Vendor. * Standard payment gateway transaction fees  will also be deducted from your payout per Transaction. * Payouts to Vendors will be processed from monday to friday.* Local Link GH reserves the right to hold payouts in cases of suspected fraud, disputes, or violations of these Terms.

5.4. Order Fulfillment: You are solely responsible for: * Promptly processing and confirming orders. * Accurate packaging of Products. * Timely and reliable shipping/delivery of Products to Buyers. * Providing accurate tracking information (if applicable).

5.5. Customer Service: You are responsible for handling all customer inquiries related to your Products, including product information, shipping updates, and post-sale support. You must adhere to your stated return and refund policies.

5.6. Performance Standards: You agree to maintain high standards of customer service, product quality, and order fulfillment. Local Link GH may monitor your performance and may suspend or terminate your account for consistent failure to meet performance standards.

5.7. Dispute Resolution (Vendor-Buyer): You agree to cooperate with Local Link GH in resolving any disputes that arise between you and a Buyer. While we facilitate communication, primary resolution remains your responsibility.

6. Payment & Financial Terms

6.1. Currency: All transactions on Local Link GH are conducted in Ghanaian Cedis (GHS).

6.2. Payment Gateway: Local Link GH utilizes third-party payment processing services (e.g., Paystack) to facilitate Transactions. By using these services, you agree to be bound by their respective terms and conditions. Local Link GH is not responsible for any errors or failures of these third-party services.

6.3. Fraud Prevention: Local Link GH employs measures to prevent fraudulent transactions. We reserve the right to cancel any order suspected of being fraudulent.

7. Intellectual Property Rights

7.1. Platform Content: All content on the Local Link GH Platform, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Local Link GH or its content suppliers and is protected by Ghanaian and international copyright, trademark, and other intellectual property laws.

7.2. User-Generated Content (UGC): By uploading any Content (e.g., product images, descriptions, store banners, reviews) to the Platform, you grant Local Link GH a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to use, reproduce, distribute, display, and perform such Content in connection with the Platform's services and for promotional purposes.

7.3. Infringement: Local Link GH respects the intellectual property rights of others. If you believe your intellectual property rights have been infringed by a Vendor or Content on our Platform, please contact us with details for investigation.

8. Disclaimers and Limitation of Liability

8.1. "As Is" Basis: The Local Link GH Platform and all Products sold through it are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or Products included on it.

8.2. Third-Party Responsibility: Local Link GH is not responsible for the acts, errors, or omissions of any third-party Vendor or any third-party payment gateway.

8.3. No Endorsement: Local Link GH does not endorse or guarantee any specific Vendor, Product, or service listed on the Platform unless expressly stated.

8.4. Limitation of Liability: To the fullest extent permitted by Ghanaian law, Local Link GH, its affiliates, directors, employees, agents, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from

(i) your access to or use of or inability to access or use the Platform;

(ii) any conduct or content of any third party on the Platform;

(iii) any content obtained from the Platform; and

(iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to indemnify, defend, and hold harmless Local Link GH, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or any activity related to your account.

10. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and disclose your personal information in compliance with Ghana's Data Protection Act, 2012 (Act 843).

11. Governing Law & Dispute Resolution

11.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

11.2. Dispute Resolution: Preference for amicable resolution, mediation, or arbitration before litigation.

12. Miscellaneous

12.1. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. 12.2. Entire Agreement: These Terms, together with the Privacy Policy and any other policies or guidelines posted on the Platform, constitute the entire agreement between you and Local Link GH regarding the use of the Platform.

12.3. Force Majeure: Local Link GH shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
